Terms and Conditions for Domain and Server Renewal

This document outlines the Terms and Conditions ("Terms") governing the renewal of domain registration and server hosting services (collectively, the "Services") provided by the nConnect Developer Team ("Provider") to the Client. By proceeding with the renewal, the Client agrees to be bound by these Terms.

1. Services and Renewal

1.1 Domain Name Renewal

The Provider agrees to renew the registration of the domain name [Domain Name] for an additional period of [Renewal Period, e.g., one (1) year], commencing on [Start Date].

1.2 Server Hosting Renewal

The Provider agrees to renew the server hosting services, as detailed in the attached Service Level Agreement (SLA), for an additional period of [Renewal Period, e.g., one (1) year], commencing on [Start Date].

2. Fees, Penalties, and Responsibilities

2.1 Fees and Payment

The Client agrees to pay the Provider the total renewal fee of [Renewal Fee Amount] ([Currency]) for the Services. Payment is due in full by [Due Date]. However, if the Client remits payment at least 14 days prior to the due date, no domain renewal penalty fees will be incurred. Failure to remit payment by the due date may result in the suspension of Services and potential loss of the domain name.

2.2 Late Payment and Penalties for Domain

In the event of domain expiration, penalty fees will be applied in accordance with the additional rates charged by the respective domain Registrar.

For payments delayed by 30 days or more beyond the due date, additional renewal service fees will be charged on top of the standard late penalty.

If the expiration period exceeds 30 days, the Provider does not guarantee the successful recovery or restoration of the original domain name.

2.3 Consequences of Server Non-Renewal

For server-related services, failure to renew the service will result in the following:

• Data will become inaccessible or may be subject to alteration.
• If the service is not renewed within 30 days, data may be permanently deleted by the upstream server provider. (The Provider, nConnect, acts solely as a connection and management intermediary and cannot recover data once it has been deleted by the source provider).
• If the Client intends to change service providers, the Client must notify the Provider at least 30 days in advance to allow sufficient time for data backup and handover preparations.

2.4 Client Responsibilities

The Client is responsible for:

• Providing accurate and up-to-date contact information for domain registration.
• Timely payment of all renewal fees.
• Backing up all data stored on the server prior to the renewal date.

2.5 Provider Responsibilities

The Provider is responsible for:

• Executing the domain name renewal with the relevant registrar.
• Ensuring the continuous availability of the server hosting services as outlined in the SLA.
• Notifying the Client of any issues or delays in the renewal process.

2.6 Limitation of Liability

The Provider's liability to the Client for any claim arising out of or relating to these Terms, whether in contract, tort, or otherwise, shall not exceed the amount of the renewal fee paid by the Client to the Provider under these Terms.

3. Deletion of Access Files

Upon the successful renewal and completion of any necessary setup or migration tasks, the Provider shall permanently delete all temporary access files, login credentials, and development or staging files related to the Services that are no longer required for the ongoing operation or maintenance of the Services.

This deletion will be completed no later than 30 days after the Renewal Date, which is [Insert Date]. The Client may request a certificate of deletion.

4. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Thailand. Any disputes arising under these Terms shall be resolved through good faith negotiation between the parties.

5. Entire Understanding

This document constitutes the entire understanding between the parties concerning the renewal of the Domain and Server Services and supersedes all prior agreements, proposals, and understandings, both written and oral.

1.2 การต่ออายุเซิร์ฟเวอร์โฮสติ้ง (Server Hosting Renewal)

ผู้ให้บริการตกลงที่จะต่ออายุบริการเซิร์ฟเวอร์โฮสติ้ง ตามที่ระบุรายละเอียดในข้อตกลงระดับการให้บริการ (SLA) เป็นระยะเวลาเพิ่มเติม [ระบุระยะเวลาการต่ออายุ เช่น 1 ปี] โดยเริ่มตั้งแต่วันที่ [ระบุวันที่เริ่ม]

2. ค่าธรรมเนียม บทลงโทษ และความรับผิดชอบ (Fees, Penalties, and Responsibilities)

2.1 ค่าธรรมเนียมและการชำระเงิน (Fees and Payment)

ลูกค้าตกลงชำระค่าธรรมเนียมการต่ออายุรวมทั้งสิ้น [ระบุจำนวนเงิน] ([ระบุสกุลเงิน]) สำหรับบริการดังกล่าว โดยจะต้องชำระเงินเต็มจำนวนภายในวันที่ [ระบุวันครบกำหนดชำระ] ทั้งนี้ หากลูกค้าดำเนินการชำระเงินล่วงหน้าก่อนวันครบกำหนดอย่างน้อย 14 วัน จะไม่มีการเรียกเก็บค่าปรับการต่ออายุโดเมนใดๆ การไม่ชำระเงินภายในกำหนดอาจส่งผลให้ถูกระงับบริการและอาจสูญเสียสิทธิ์ในชื่อโดเมนเนม

2.2 เงื่อนไขค่าปรับและการล่าช้าสำหรับโดเมน (Late Payment and Penalties for Domain)

หากโดเมนหมดอายุ จะมีค่าปรับเกิดขึ้นตามอัตราที่ผู้ให้บริการจดทะเบียนโดเมน (Registrar) ปลายทางเรียกเก็บเพิ่มเติม

หากมีการชำระเงินเลยกำหนดตั้งแต่ 30 วันขึ้นไป จะมีค่าบริการต่ออายุเพิ่มเติมจากยอดค่าปรับปกติ

ในกรณีที่ปล่อยให้หมดอายุเลยช่วงเวลา 30 วันขึ้นไป ทางผู้ให้บริการไม่สามารถรับประกันได้ว่าจะสามารถกู้คืนชื่อโดเมนเนมเดิมกลับมาได้

2.3 ผลกระทบกรณีไม่ต่ออายุบริการเซิร์ฟเวอร์ (Consequences of Server Non-Renewal)

สำหรับการบริการด้านเซิร์ฟเวอร์ หากไม่มีการต่ออายุบริการ จะส่งผลกระทบดังต่อไปนี้:

• ข้อมูลต่างๆ จะไม่สามารถเข้าถึงได้ หรืออาจเกิดการเปลี่ยนแปลง
• หากไม่ได้รับการต่ออายุภายใน 30 วัน ข้อมูลในระบบอาจถูกลบโดยผู้ให้บริการเซิร์ฟเวอร์ต้นทาง (ทางบริษัท nConnect เป็นเพียงผู้ให้บริการเชื่อมต่อและบริหารจัดการเท่านั้น ไม่สามารถกู้คืนข้อมูลที่ถูกลบทิ้งจากต้นทางได้)
• หากลูกค้ามีความประสงค์จะเปลี่ยนแปลงผู้ให้บริการ โปรดแจ้งให้ทราบล่วงหน้าอย่างน้อย 30 วัน เพื่อดำเนินการสำรองข้อมูล (Backup) และเตรียมการส่งมอบเพื่อนำไปดำเนินการต่อได้

2.4 ความรับผิดชอบของลูกค้า (Client Responsibilities)

ลูกค้ามีความรับผิดชอบดังนี้:

• ให้ข้อมูลการติดต่อที่ถูกต้องและเป็นปัจจุบันสำหรับการจดทะเบียนโดเมน
• ชำระค่าธรรมเนียมการต่ออายุทั้งหมดให้ตรงตามเวลาที่กำหนด
• สำรองข้อมูล (Backup) ทั้งหมดที่จัดเก็บไว้บนเซิร์ฟเวอร์ก่อนถึงวันต่ออายุ

2.5 ความรับผิดชอบของผู้ให้บริการ (Provider Responsibilities)

ผู้ให้บริการมีความรับผิดชอบดังนี้:

• ดำเนินการต่ออายุชื่อโดเมนกับนายทะเบียน (Registrar) ที่เกี่ยวข้อง
• ตรวจสอบให้แน่ใจว่าบริการเซิร์ฟเวอร์โฮสติ้งสามารถใช้งานได้อย่างต่อเนื่องตามที่ระบุไว้ในข้อตกลงระดับการให้บริการ (SLA)
• แจ้งให้ลูกค้าทราบถึงปัญหาหรือความล่าช้าใดๆ ในกระบวนการต่ออายุ

2.6 ข้อจำกัดความรับผิด (Limitation of Liability)

ความรับผิดของผู้ให้บริการที่มีต่อลูกค้าสำหรับการเรียกร้องใดๆ ที่เกิดขึ้นจากหรือเกี่ยวข้องกับเงื่อนไขฉบับนี้ ไม่ว่าจะในทางสัญญา การละเมิด หรืออื่นๆ จะต้องไม่เกินจำนวนเงินค่าธรรมเนียมการต่ออายุที่ลูกค้าได้ชำระให้แก่ผู้ให้บริการภายใต้ข้อกำหนดนี้

3. การลบไฟล์การเข้าถึง (Deletion of Access Files)

เมื่อการต่ออายุเสร็จสมบูรณ์และการตั้งค่าหรือการย้ายข้อมูลที่จำเป็นเสร็จสิ้น ผู้ให้บริการจะลบไฟล์การเข้าถึงชั่วคราว ข้อมูลการเข้าสู่ระบบ (Login credentials) และไฟล์สำหรับการพัฒนาหรือทดสอบที่เกี่ยวข้องกับบริการ ซึ่งไม่จำเป็นสำหรับการทำงานหรือการบำรุงรักษาบริการอย่างต่อเนื่องทิ้งอย่างถาวร

การลบข้อมูลนี้จะดำเนินการให้แล้วเสร็จภายใน 30 วันนับจากวันที่ต่ออายุ ซึ่งตรงกับวันที่ [ระบุวันที่] โดยลูกค้าสามารถร้องขอเอกสารรับรองการลบข้อมูลได้

4. กฎหมายที่บังคับใช้และการระงับข้อพิพาท (Governing Law and Dispute Resolution)

ข้อกำหนดและเงื่อนไขฉบับนี้ให้อยู่ภายใต้บังคับและตีความตามกฎหมายของประเทศไทย ข้อพิพาทใดๆ ที่เกิดขึ้นให้ระงับด้วยการเจรจาตกลงกันด้วยความสุจริตระหว่างทั้งสองฝ่าย

5. ข้อตกลงที่สมบูรณ์ (Entire Understanding)

เอกสารฉบับนี้ถือเป็นข้อกำหนดและเงื่อนไขทั้งหมดเกี่ยวกับการต่ออายุบริการโดเมนและเซิร์ฟเวอร์ และให้ใช้แทนที่ข้อตกลง โครงร่าง และความเข้าใจใดๆ ทั้งหมดที่มีมาก่อนหน้า ทั้งที่เป็นลายลักษณ์อักษรและวาจา
