Website Ownership Agreement

The Website Ownership Agreement defines the terms under which the ownership of a developed website is transferred from the nConnect Developer Team to the Client.

Website Ownership Agreement

This Project is made as of the Reference on Date Submit, by and between nConnect Developer Team, a company organized and existing under the laws of Thailand, with its principal place of business located at 30 Sukhumvit 61 Khlong Tan Nuea, Watthana Bangkok 10110 Thailand ("Developer"), and the Client.

WHEREAS, Developer has been engaged by the Client to design and develop a website; and

WHEREAS, the parties intend that ownership of the website, including all intellectual property rights therein, shall be transferred to the Client upon completion and full payment for the project.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Transfer of Ownership

Upon completion of the website development and full payment of all fees, Developer hereby assigns and transfers to the Client all rights, title, and interest in and to the website developed, including but not limited to all code, text, images, media, and other content, as well as any related intellectual property rights.

2. Client's Ownership

The Client shall be considered the sole owner of the website and all associated intellectual property rights, with the full right to use, modify, maintain, update, and control the website.

3. Developer's Warranty

Developer warrants that it has the right to transfer ownership of the website to the Client and that the website does not infringe on the intellectual property rights of any third party.

4. Confidentiality

Developer agrees to keep all information regarding the development of the website confidential, except as may be necessary for the performance of Developer's duties or as required by law.

5. Governing Law

This Project shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of laws principles.

6. Entire Agreement

This Project constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, regarding such subject matter.

ส่วนนี้ระบุถึงข้อตกลงความเป็นเจ้าของเว็บไซต์ระหว่าง ทีมผู้พัฒนา nConnect และ ลูกค้า

ข้อตกลงความเป็นเจ้าของเว็บไซต์นี้กำหนดเงื่อนไขในการโอนกรรมสิทธิ์ของเว็บไซต์ที่พัฒนาเสร็จแล้วจาก ทีมผู้พัฒนา nConnect ไปยัง ลูกค้า

ข้อตกลงความเป็นเจ้าของเว็บไซต์

สัญญาฉบับนี้จัดทำขึ้น ณ วันที่ส่งมอบงานที่ระบุไว้ (Reference on Date Submit) โดยและระหว่าง ทีมผู้พัฒนา nConnect ซึ่งเป็นบริษัทที่จัดตั้งและดำเนินกิจการภายใต้กฎหมายของประเทศไทย โดยมีสำนักงานใหญ่ตั้งอยู่ที่ 30 สุขุมวิท 61 แขวงคลองตันเหนือ เขตวัฒนา กรุงเทพมหานคร 10110 ประเทศไทย ("ผู้พัฒนา") และ ลูกค้า

โดยที่ ผู้พัฒนาได้รับการว่าจ้างจากลูกค้าให้ออกแบบและพัฒนาเว็บไซต์ และ

โดยที่ คู่สัญญามีเจตนาที่จะให้กรรมสิทธิ์ในเว็บไซต์ ซึ่งรวมถึงสิทธิ์ในทรัพย์สินทางปัญญาทั้งหมดในเว็บไซต์นั้น ถูกโอนไปยังลูกค้าเมื่อโปรเจกต์เสร็จสมบูรณ์และมีการชำระเงินครบถ้วน

ดังนั้น เพื่อเป็นการตอบแทนตามข้อตกลงร่วมกันที่ระบุไว้ในที่นี้ และเพื่อค่าตอบแทนอื่นที่ถูกต้องและมีมูลค่า ซึ่งคู่สัญญาต่างรับรองว่าได้รับและเพียงพอแล้ว คู่สัญญาจึงตกลงกันดังต่อไปนี้:

1. การโอนกรรมสิทธิ์

เมื่อการพัฒนาเว็บไซต์เสร็จสมบูรณ์และมีการชำระค่าธรรมเนียมทั้งหมดครบถ้วนแล้ว ผู้พัฒนาตกลงมอบและโอนสิทธิ กรรมสิทธิ์ และผลประโยชน์ทั้งหมดในเว็บไซต์ที่พัฒนาขึ้นให้กับลูกค้า ซึ่งรวมถึงแต่ไม่จำกัดเพียง โค้ด ข้อความ รูปภาพ สื่อ และเนื้อหาอื่นๆ ทั้งหมด ตลอดจนสิทธิ์ในทรัพย์สินทางปัญญาใดๆ ที่เกี่ยวข้อง

2. ความเป็นเจ้าของของลูกค้า

ลูกค้าจะถือเป็นเจ้าของเว็บไซต์และสิทธิ์ในทรัพย์สินทางปัญญาที่เกี่ยวข้องทั้งหมดแต่เพียงผู้เดียว โดยมีสิทธิ์อย่างเต็มที่ในการใช้งาน ดัดแปลง บำรุงรักษา อัปเดต และควบคุมเว็บไซต์

3. การรับประกันของผู้พัฒนา

ผู้พัฒนารับประกันว่าตนมีสิทธิ์ในการโอนกรรมสิทธิ์ของเว็บไซต์ให้กับลูกค้า และเว็บไซต์ดังกล่าวไม่ได้ละเมิดสิทธิ์ในทรัพย์สินทางปัญญาของบุคคลที่สามใดๆ

4. การรักษาความลับ

ผู้พัฒนาตกลงที่จะเก็บรักษาข้อมูลทั้งหมดที่เกี่ยวกับการพัฒนาเว็บไซต์ไว้เป็นความลับ ยกเว้นในกรณีที่จำเป็นสำหรับการปฏิบัติหน้าที่ของผู้พัฒนา หรือตามที่กฎหมายกำหนด

5. กฎหมายที่บังคับใช้

สัญญาฉบับนี้จะอยู่ภายใต้บังคับและตีความตามกฎหมายของประเทศไทย โดยไม่ต้องคำนึงถึงหลักเกณฑ์ว่าด้วยการขัดกันแห่งกฎหมาย

6. ข้อตกลงเบ็ดเสร็จ

สัญญาฉบับนี้ถือเป็นข้อตกลงทั้งหมดระหว่างคู่สัญญาที่เกี่ยวกับสาระสำคัญในที่นี้ และให้ใช้แทนที่ความเข้าใจ ข้อตกลง การเจรจา การรับรอง และการรับประกันใดๆ ทั้งหมดที่มีมาก่อนหน้าหรือในเวลาเดียวกัน ทั้งที่เป็นลายลักษณ์อักษรและวาจา ที่เกี่ยวกับสาระสำคัญดังกล่าว
